- Governing Law and Arbitration
- Governing Law:
These Terms and Conditions, and any disputes arising out of or relating to the use of the Blueweelz platform and app, shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. - Arbitration Agreement:
- Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Blueweelz platform or app, or the relationship between you and Blueweelz, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, that cannot be resolved through informal negotiation within 30 days, shall be resolved exclusively through final and binding arbitration. The arbitration will be conducted in accordance with the California Arbitration Act and the rules of the American Arbitration Association (AAA), except as modified herein.
- Arbitration Procedure: The arbitration will take place in Los Angeles County, California, unless otherwise agreed by the parties. The arbitration shall be conducted by a single arbitrator appointed by the AAA. The arbitrator shall have the authority to grant any remedy or relief that would have been available in court, including interim or preliminary relief, and shall apply the laws of the State of California consistent with the Federal Arbitration Act.
- Waiver of Class Action: You and Blueweelz agree that all claims and disputes will be arbitrated on an individual basis and not on a class, collective, or representative basis. The arbitrator shall not have the authority to consolidate claims of multiple parties or to preside over any form of class or representative proceeding.
- Exceptions to Arbitration: Notwithstanding the foregoing, either party may bring an individual action in small claims court or seek injunctive relief in a court of competent jurisdiction in Los Angeles County, California, for disputes relating to intellectual property rights or unauthorized use of the platform.
- Costs and Fees: The costs and fees of the arbitration shall be borne in accordance with the rules of the AAA, provided that each party will be responsible for their own attorneys’ fees and costs unless the arbitrator determines that such fees and costs should be awarded in accordance with applicable law.
- Finality: The arbitrator’s award shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction.
By using the Blueweelz platform, you agree to resolve any disputes with Blueweelz in accordance with this arbitration agreement and waive your right to participate in a class action or class-wide arbitration.
